JetBlue has said they’re in talks with a number of airlines about potential partnerships. Aviation watchdog JonNYC reported that United has spent time looking at ways they might do a deal with JetBlue – “merger or buying assets or something else.”
In response, United Airlines has filed an SEC 8-K saying that they are not in negotiations or discussions (and have not been recently) regarding a merger or acquisition.
It has come to the Company’s attention that there may be rumors spreading among certain of our investors regarding United’s involvement in a potential strategic transaction with another airline. The Company is not in negotiations or discussions with any other airline regarding a merger, acquisition or similar strategic transaction and has not been in any recent discussions with any airlines regarding the same. As indicated by United’s strong earnings results and outlook provided on January 21, 2025, the Company has great momentum and a bright future ahead.
This denial of course doesn’t say that they aren’t in discussions about acquiring assets like slots – just not a “merger, acquisition or similar strategic transaction.” Note that JonNYC did not say it was necessarily a merger but could have involved buying assets, like a portfolio of slots at New York JFK or “something else” (a partnership along the lines of what American Airlines and JetBlue had broken up by the previous administration would fall into that category).
In that sense, I take this as a non-denial denial of the actual rumor. They are only saying they aren’t in active discussions over acquiring JetBlue. That would have been a tough anti-trust sell even for a Trump administration, which incidentally filed its first antitrust suit to block a merger today.
According to JonNYC, he has sources at other Star Alliance carriers who have been briefed on United’s project. I assume this would imply an antitrust-immunized joint venture partner, such as Lufthansa.
And, at this juncture, I feel there is ample evidence that some of UA's Star Alliance partners have been briefed about UA's interest in Jetblue

In covering this, I speculated that it might be something much smaller than an acquisition of JetBlue – “Surely there would be anti-trust concerns still over anything more than a small slot sale or lease package” – and United did not address anything smaller than a merger or acquisition in their filing.
UA buying some JFK slots is far less significant than the acquisition or “deal” rumor that Jonny boy was peddling.

And, no, Jon, UA did not discuss anything with its Star partners.

Companies generally do not file 8Ks commenting on “Internet rumors.” My guess is that the C suite is really pissed off and there will be an internal investigation to see if this rumor was provided by an insider. Internet bloggers that wade in the middle of non public information, or what ends up being information deemed false enough and material enough to force management to stop and file an 8K should watch their step. Getting sued would suck.
I’ll up the ante. If any of you folks are traveling tonight, come by DeltaOne at JFK T4–I’ll save you a seat at the bar. The espresso martinis here are excellent. Very nice! The new LGA was worth the wait. Very impressed with all the ‘new’ lounges—that Admirals Club is massive! If in Terminal B, gotta say the food and drinks at the Chase Sapphire lounge is really good. Amex, United Club, even the Maple Leaf are each worthwhile, too, when eligible. Went out of my way to try all the above in the last year. Of course, the newly expanded SkyClub in Terminal C is incredible. And, it’s not a lounge, but there’s even a Bubby’s there (popular NYC/Tribeca diner, great pancakes). Safe travels!

As noted, it is not normal for a company to have to deny activity and it bodes very poorly for a few people inside of UA’s HDQ or for the scum that make a career of publishing internal company docs.
Gary gets a steady supply of internal documents from AA, UA is clearly lowering the boom and, surprisingly, rarely are any internal documents leaked from DL.

So the little mole jonboy isn’t always right? Shocking. Sounds like it was B6 who was trumping up these rumors for leverage in their real negotiations with AA. There will be no deal with UA. B6 basically has no value except for their slots, if they make a deal with UA just for slots then they really have no reason to exist. UA isn’t going to lie about this and risk a shareholder lawsuit or SEC investigation. B6 and AA will soon be back together again in some form.

Also, kudos for connecting via LGA—that’s a rarity. Usually it’s a start or end point, but I can only imagine the rescheduling American and its affiliates have had to make due to everything that has happened this week at DCA. It’s still so shocking and sad.
And; this is random, but since you mentioned DTW, I just wanted to mention that Madcap Coffee in Detroit is one of my favorite cafes. Not sure if you’re from there or just visiting, but Detroit has come a long way and has a lot to offer these days. Compliments and respect all around.
JetBlue selling off gates and landing slots at JFK would be tantamount to suicide. United and Delta are both vastly too strong on the NYC market so strengthening United’s power there while selling irreplaceable assets would be an awful blunder. Much better to file chapter 11. The last thing we need is an effective duopoly in the market now that American has largely removed themselves from the market.

Suspect the rumors of B6 joining *A. (Very possible.) Non-denial denial about anything less than an acquisition, which wouldn’t happen. Doubt if LH can do much due to cabotage rules.

If you believe anything CEO’s tell you , then you’re in for a BIG surprise. I remember being at an employee meeting in Houston with another 400 EIT members when Jeff Smisek told us that Continental and United would never merge and this was in early April. One month later the merger was announced. They keep everything hidden from the press and employees till the last minute.

After the AA5342/Blackhawk helicopter crash at DCA, to fly to DCA on January 31st, after the cancelation of the morning nonstop flight AA5444 from DTW to DCA operated by PSA Airlines as American Eagle on a Bombardier CRJ700, I was routed on AA4477 DTW to LGA on a E75-Embraer 175 operated by Republic Airways as American Eagle, connecting to AA4371 LGA to DCA. Just before landing, passengers were treated to a view of the Potomac River, allowing us to see the recovery efforts from the crash wreckage in the icy water. Many passengers felt anxious about flying that Friday, as only two out of twelve seats were filled in first class on my initial flight. The other passenger had purchased a first-class upgrade for $45. As a lifetime AAdvantage Platinum member, I was fortunate to receive a complimentary upgrade. I returned to DTW the same day and connected again that evening through LGA.

Again, thank you for sharing your experience here. Glad you made it. I’m have been traveling this weekend, and the incident has definitely shaken up the crews. I am that much more grateful for those that risk their lives every day to get us to where we’re going safely. Brought all my remaining Diamond/Platinum ‘thank you’ cards for the flight attendants (Delta this time) and have been handing them out generously with great appreciation.
